Terms of Service

1. EZ Entity Setup Services

This Service must be used within the applicable laws of the State relating to the formation of businesses. This Service is intended only for use in the United States.

2. Registration and Account

Account Creation. In order to use certain features of the Services, you must register for an account and provide certain information about yourself. You represent and warrant that:

• All required registration information you submit is truthful and accurate
• You will maintain the accuracy of such information

You may delete your Account at any time, for any reason, by following the instructions on the Site, subject to early termination fees, as applicable. EZ Entity Setup may suspend or terminate your Account in accordance with the Term and Termination Section.

3. Minimum Age

You must be 18 years of age or older to use or register for Services.

4. Access to the Site and Services

License

Subject to this Agreement, EZ Entity Setup grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Site and App solely for your own personal, noncompetitive use.

Certain Restrictions

The rights granted to you in this Agreement are subject to the following restrictions:

• You shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site or App
• You shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Site or App
• You shall not access the Site or App to build a similar or competitive website, product, or service
• No part of the Site or App may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted without authorization

Modification

EZ Entity Setup reserves the right, at any time, to modify, suspend, or discontinue the Services with or without notice to you. You agree that EZ Entity Setup will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services.

Ownership

Excluding any User Content that you may provide, you acknowledge that all the intellectual property rights in the Site or App and its content are owned by EZ Entity Setup or its suppliers. There are no implied licenses granted under this Agreement.

Authorized Signatory

By designating an Authorized Signatory, you grant EZ Entity Setup a limited power of attorney to use and sign the Authorized Signatory's name on all formation documents including Articles of Organization, Annual Reports, Change of Registered Agent, and Amendments.

Entity Name Verification

As a courtesy, EZ Entity Setup will verify if an entity name is available. Ultimately, it is the customer's responsibility to determine if the name or the services being provided requires licensing, credentials or further approval from state or local authorities.

5. Privacy Policy and Confidentiality

EZ Entity Setup has established a privacy policy to explain how your personal information is collected and used, including our use of services like OpenAI and ChatGPT and other artificial intelligence services.

6. Service Fees and Billing

EZ Entity Setup charges you for service fees and state filing fees. The state filing fees pass directly to the state and are subject to change pending state requirements.

One-Time Payments

EZ Entity Setup offers services subject to a one-time fee, including filing for an EIN on your business' behalf and requesting priority handling of business formation.

Automatic Billing Notice

EZ Entity Setup may send reminder emails before installment billing dates. This notice is provided as a courtesy only, and EZ Entity Setup is not obligated to provide such notice.

Abandoned or Incomplete Orders

Other than as required by applicable law, you shall have no right to cancel, request a cash refund or obtain store credit for any undelivered order after 120 days have elapsed from the purchase date unless EZ Entity Setup is at fault.

Recurring Payments

EZ Entity Setup offers paid services for an initial period of 12 months, billed on either a monthly or yearly basis. You authorize EZ Entity Setup to charge the card originally used for purchase on either the monthly or yearly anniversary.

Automatic Renewal

Refund Policy

Buy with confidence knowing that your purchase is backed by our 60-day money back guarantee. If you wish to cancel a subscription or add-on service, please contact customer support within 60 days for a full refund less any state or other third-party fees. After 60 days, we can cancel your subscription or service, but no refunds will be issued.

Trial Products

EZ Entity Setup subscription packages include products and services available at no cost for the duration of the trial period. The free trial does not include state filing fees. At the end of your free trial, we will automatically charge the credit card on file.

Worry Free Compliance

EZ Entity Setup will perform due diligence to ensure that your business is in good standing at the time of Worry Free Compliance purchase. EZ Entity Setup requires 14 business days to perform due diligence before processing any upcoming compliance reports.

Pricing

We make our best efforts to display accurate pricing. In the event of pricing errors, we will contact you before accepting and processing your order with any necessary pricing adjustments.

7. User Content

"User Content" means any and all information and content that a user submits to, or uses with, the Site or the App. You are solely responsible for your User Content and assume all risks associated with its use.

License

You hereby grant to EZ Entity Setup an irrevocable, nonexclusive license to reproduce, store, and otherwise use your User Content for the purposes of including your User Content in the Services requested by you.

Acceptable Use Policy

You agree not to use the Site or App to collect, upload, transmit, display, or distribute any User Content that:

• Violates any third-party right, including any intellectual property or proprietary right
• Is unlawful, harassing, abusive, threatening, harmful, or otherwise objectionable
• Is harmful to minors in any way
• Violates any applicable law, regulation, or obligations

Feedback

If you provide EZ Entity Setup with any feedback or suggestions regarding the Services, you hereby assign to EZ Entity Setup all rights in such Feedback.

8. Consent to Use Certain Data

Diagnostic and Usage Data

You agree that EZ Entity Setup may collect, maintain, process and use diagnostic, technical, usage and related information to facilitate the provision of software updates, product support and other services.

Location Data

If you opt-in to location data, EZ Entity Setup and its partners may provide certain services that rely upon location information. The location data collected is in a form that does not personally identify you.

9. Third Party Links

The Site may contain third-party data and/or links that direct you to third-party partners. Such Third-Party Data & Sources are not under the control of EZ Entity Setup, and EZ Entity Setup is not responsible for any Third-Party Data & Sources.

When you click on any of the Third-Party Data & Sources, the applicable third party's terms and policies apply.

10. Service Providers

EZ Entity Setup does not endorse and is not responsible or liable for any User Content, data, advertising, products, goods or services available from third-party registered agent services, third party filers or governmental agencies.

11. Disclosure of Information

As EZ Entity Setup continues to develop its business, it might sell or buy other companies or assets or be acquired. In such transactions, customer information generally is one of the transferred business assets. You hereby consent to the transfer of your information as one of the transferred assets.

12. Term and Termination

These Terms will remain in full force and effect while you use the Services. We may suspend or terminate your rights to use the Site or App at any time for any reason at our sole discretion. Upon termination, your Account and right to access the Services will terminate immediately.

13. Modification of Terms and Conditions

These Terms are subject to occasional revision. If we make any substantial changes, we may notify you by email or by posting notice on our Site. Changes will be effective thirty (30) calendar days following our dispatch of notice.

14. Delays

The Service may be subject to limitations, delays and other problems inherent in the use of the Internet and electronic communications, as well as governmental shutdowns and delays. EZ Entity Setup is not responsible for any delays, failures or other damage resulting from such problems.

15. Export

The Site or App may be subject to U.S. export control laws. You agree not to export, reexport, or transfer any U.S. technical data in violation of the United States export laws or regulations.

You agree to indemnify, defend and hold harmless EZ Entity Setup, its officers, managers, owners, employees, agents, and suppliers from and against all losses, liabilities, expenses, damages, claims, demands and costs due to or arising from any violation of this Agreement by you or inaccurate information provided by you.

19. Dispute Resolution

Applicability of Arbitration Agreement

All claims and disputes that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement.

Notice Requirement

Before either party may seek arbitration, the party must first send a written Notice of Dispute to: 8819 S Redwood Road, Suite B1, West Jordan, UT 84088, Attention: Dispute Resolution.

Arbitration Rules

Arbitration shall be initiated through the American Arbitration Association ("AAA"). The arbitration shall be conducted by a single, neutral arbitrator.

Waiver of Jury Trial

THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.

Waiver of Class or Consolidated Actions

ALL CLAIMS AND DISPUTES MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS.

21. Entire Agreement

This Agreement governs your use of the Service and constitutes the entire agreement between you and EZ Entity Setup. It supersedes any prior or contemporaneous negotiations, discussions or agreements regarding the subject matter contained in this Agreement.

22. Governing Law; Venue

This Agreement will be governed by the laws of the State of Texas. Subject to the Arbitration provision, you agree to the exclusive jurisdiction of the state or federal courts located in Travis County, Texas.

Any claim or cause of action arising out of your use of the Service shall be filed within one (1) year after such claim arose or will forever be barred.
